AOA to Elect Officers and Board Members at Annual Meeting, December 4, 2012

Call for Nominations for Officers and Directors, America Outdoors Association

Nominations are being taken for the 15-member America Outdoors Association board of directors with the election slated for December 4th at the Annual Meeting in Daytona Beach, FL.  The board consists of three members from the East, three from the West, five at-large seats and four officers.  Officers up for election are the President, First Vice-President, Second Vice-President, and Secretary Treasurer.  The nominating committee, chaired by Greg Henington, will review nominations and develop a slate of candidates to be voted on by the membership shortly after noon on December 4th.  Members interested in nominating themselves or other members for consideration by the nominating committee should contact Greg at 432-371-2633 or send an email to greg@ffoc.net

Qualifications for participation on the board can be found below.

  • Duty of care in terms of diligence.  Financial oversight.
  • Duty of obedience.  Support the vote of the board.
  • Duty of loyalty.  Board members of AO wear the AO hat and put AO interests above all others.
  • Support AO’s strategic plan.
  • Abide by board approved policies.

President
The President shall be able to present himself well and preside at meetings of the membership.  As presiding officer, the President shall have the primary responsibility for ensuring that other board members and staff adhere to the goals, objectives and policies of the Association.  The President should also possess the following qualifications:

  • be capable of presiding and running meetings efficiently and understand Robert’s Rules of order;
  • have an understanding of the by-laws and board policies and enforce them among board members, staff and the membership;
  • advocate for America Outdoors Association and its mission, goals and objectives to the membership and assist staff and others in promoting membership;
  • oversee the Executive Director’s performance subject to board approved goals and objectives;
  • understand the financial statement, budget and assist the organization in achieving its financial objectives;
  • assist other officers and directors in upholding their fiduciary responsibilities and duties of loyalty, obedience and commitment to America Outdoors Association;
  • possess the qualities of leadership that reflect favorably on the industry and organization;
  • consult regularly with the Executive Director on the status of issues and objectives and help in preparation for board meetings.

First Vice President

  • The First Vice President must possess the same qualification as the President and be prepared, at any time, to assume the role of the President in his or her absence.  The President may at any time, in consultation with the Vice President, delegate authority for certain functions normally conducted by the President to the Vice President.

The Second Vice President

  • The Second Vice President must possess many of the same qualification as the President and be prepared, at any time, to assume the role of the President in his or her absence.  The President may at any time, in consultation with the Vice President, delegate authority for specific functions normally conducted by the President to the Vice Presidents.

Secretary Treasurer

  • The Secretary Treasurer is the officer whose primary responsibility is the fiduciary oversight of Association.  The Secretary Treasurer will report to the President on the financial matters of the association and provide a report to the board and members when called upon by the President.
  • The Secretary Treasurer must be available to assist the staff in the execution and safe-keeping of corporate documents, including financial documents and organization records, consistent with board approved document retention policies.
  • The Secretary Treasurer shall assist the President in ensuring that the board and staff uphold the high levels of fiduciary responsibility and assist in the enforcement of appropriate fiscal policies and procedures.
  • The Secretary Treasurer shall conduct and certify the elections and votes by the membership and ensure that elections are conducted in a manner consistent with the bylaws of the organization.

Qualifications of regional chairs:

Nominees and regional chairs must meet the following qualifications to hold office as a regional chair.

  • Agree to represent the collective interests of all types of outfitters and the overall interest of the industry;
  • Support the strategic plan for AOA;
  • Read and understand the bylaws and operating policies and agree to abide by them;
  • Be committed to expanding AOA membership in their region;
  • Must be an America Outdoors member and abide by the qualifications for membership and the code of ethics;
  • Regional chairs must uphold the mission and positions of America Outdoors as defined by the Board of Directors;
  • Contribute regional reports to the newsletter in a timely fashion and endeavor to include news about all types of outfitters from all parts of the region as appropriate;
  • Attend board of directors meetings and cover expenses or arrange to have expenses for travel paid. 

Qualifications of prospective board members for at large and industry segment positions

Candidates for each seat should be selected according to the following qualifications.

  • Willingness to build membership within the segment (working with regional chairs);
  • Support the strategic plan for AOA;
  • Read and understand the bylaws and operating policies and agree to abide by them;
  • Must be a member of AO in good standing.
  • Stature as an opinion leader within the segment and ability to represent interests AOA and industry to that segment.
  • Willingness to participate in board meetings and ability to pay own expenses.
  • Willingness to make participation in AO their number one association priority
